These Terms & Conditions ("Terms") govern the use of services provided by b2base ("we", "us", "our"). By placing orders, using services, or engaging with b2base in any manner, the client ("you", "your") agrees to be legally bound by these Terms. If you do not agree, do not use b2base services.

1. Nature of Business

b2base operates as a product supplier, fulfillment and backend support partner, and a dropshipping, reselling, wholesale, and retail service provider. b2base works with multiple vendors and third-party service providers to fulfill orders. b2base is not a marketplace, not a courier company, and not a guarantee provider.

2. Service Coverage

b2base services include but are not limited to:

• Product sourcing from multiple vendors
• Order packing and repacking
• Dispatch through third-party courier aggregators
• RTO (Return-to-Origin) management
• Product images and video creatives for ads
• Backend fulfillment operations

Service availability may vary based on product, location, vendor, and logistics partner.

3. Client Responsibilities

The client agrees to provide accurate order and customer details, ensure lawful use of customer data, confirm prices, availability, and stock before running ads, bear all risks related to marketing, advertising, and sales, and maintain sufficient account balance for orders, RTO, and charges. b2base is not responsible for losses caused by incorrect information provided by the client.

4. Pricing & Payments

All prices are subject to change without prior notice and may vary due to vendor changes, logistics costs, or market conditions. Payments must be made in advance, unless otherwise agreed in writing. b2base does not guarantee fixed pricing; clients must reconfirm prices before scaling or advertising.

5. No Refund Policy (Strict)

All payments are non-refundable, including product cost, courier charges, packing fees, repacking fees, and service charges. b2base does not issue cash or bank refunds under any circumstances.

6. RTO (Return-to-Origin) Policy

When an order is returned, product condition is inspected, RTO status is recorded, and the product may be restocked if undamaged. Courier charges (forward and return), repacking, and handling charges are payable by the client. If a product is returned without damage, its value is credited to the client's b2base account; credits can be adjusted only against future orders and are not transferable or withdrawable.

7. Damaged / Lost / Delayed Shipments

b2base is not liable for courier delays, losses, theft, or damages caused during transit. Any courier claims depend solely on the courier partner's policies. b2base may assist in coordination but provides no guarantee of recovery.

8. Product Quality & Variations

Product images and videos are for reference only. Minor variations in color, design, packaging, or finish may occur, and b2base does not guarantee manufacturer consistency. Quality disputes beyond reasonable tolerance are not grounds for refunds.

9. Advertising & Media Usage

Product images and videos are provided as-is and may be shared with multiple clients; no exclusivity is guaranteed. b2base is not responsible for ad performance, ROAS, or conversions. All advertising risks are borne by the client.

10. Account Suspension & Termination

b2base reserves the right to suspend or terminate services, hold or adjust account balances, and reject orders without prior notice if the client violates these Terms, misuses services or data, or engages in fraudulent, abusive, or unethical practices.

11. Limitation of Liability

To the maximum extent permitted by law, b2base's liability is limited strictly to the value of the specific order involved. b2base is not liable for indirect, incidental, or consequential losses; loss of profit, ad spend, or business reputation is not our responsibility.

12. Force Majeure

b2base is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, government restrictions, courier disruptions, vendor shutdowns, and technical failures.

13. Modifications to Terms

b2base may update these Terms at any time without prior notice. Continued use of services constitutes acceptance of the updated Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in India.

2. How We Use the Information

We use collected data strictly for operational purposes: to source products through our backend suppliers, to handle packing and repacking, to arrange delivery and logistics through third-party partners, to process RTO (Return-to-Origin) shipments, to provide customer support to clients, and to manage billing and account activity. We do not use customer data for marketing, resale, or any unrelated purpose.

3. Data Sharing With Third Parties

We only share data when necessary to fulfill our obligations.

3.1 Third-Party Logistics & Fulfillment

We share limited order and customer details with packaging partners, delivery companies, and backend suppliers. These third parties receive only what is required to complete the service.

3.2 Legal Obligations

We may disclose information if required by law enforcement, government authorities, or compliance with legal processes.

4. Data Retention

We retain data only as long as needed for fulfillment, RTO handling, and accounting and audit compliance. After retention periods expire, data is securely deleted.

5. Data Security

We implement reasonable administrative, technical, and physical safeguards to protect information against loss, unauthorized access, misuse, and modification. No system is perfectly secure, but we apply industry-standard measures.

6. Financial Policy & RTO Handling

6.1 No Refund Policy

We do not issue cash refunds. If an order faces RTO and the product is returned in usable condition, the product value remains in your balance with us, and for the next order you only pay the repacking cost.

6.2 RTO Support

We support RTO processing and return management. Products that are damaged, lost, or not returned by the courier fall under courier liability, not b2base.

7. Client Responsibilities

Clients are responsible for providing accurate customer data, complying with legal requirements when sharing personal data, and not sharing confidential business information with unauthorized parties. We are not liable for errors caused by incorrect client-submitted information.

8. Cookies & Tracking

If our website or dashboard uses cookies, they may collect session data and usage analytics. This is solely for platform functionality and performance.

9. International Data Transfers

If data is processed outside the client's region, we ensure reasonable safeguards and contractual protections with third-party providers.

10. Children's Privacy

Our services are not intended for children under 12, and we do not knowingly collect their information.

11. Changes to This Privacy Policy

We may update this policy as needed. Updated versions will be posted with a revised "Last Updated" date.
